1. Acceptance of Terms

By accessing or using the Niyantr platform at partners.niyantr.com, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you may not access or use the platform. These terms constitute a legally binding agreement between you and Etailify Technologies Private Limited.

2. Services Description

Niyantr provides a unified commerce operating system for direct-to-consumer brands. Our platform includes storefront hosting, order management, payment gateway routing, shipping orchestration, inventory management, CRM, marketing automation, and operational intelligence. We reserve the right to modify, suspend, or discontinue any part of the services at any time with reasonable notice.

3. Subscription & Billing

Subscriptions are billed monthly in Indian Rupees (INR). Each billing period is 30 days from your activation date. Payment is due before the current billing period ends. Failure to pay may result in suspension of services until payment is received. All fees are exclusive of Goods and Services Tax (GST), which will be charged at the prevailing rate. We will provide at least 30 days notice before any pricing changes take effect.

4. Charges & Wallets

Two charges are billed to you directly, and two prepaid wallet balances are drawn down as you use the platform:

• Platform Fee: A flat monthly subscription charge for your plan, billed in advance.
• Commission: A percentage of the order payment value, deducted automatically at the point of payment capture. The rate is set by your plan.
• Commodity Wallet: A prepaid balance you top up in advance. Courier shipping costs and any return-to-origin (RTO) charges are deducted from this balance as they are incurred. Shipping is not invoiced to you separately.
• AI Wallet: A separate prepaid credit balance, drawn down per operation as you use AI features — insights, image generation and copy generation.

Each wallet must hold a balance for its services to run: shipments cannot be created without commodity balance, and AI features are unavailable without AI credits. Every charge, top-up and deduction is itemised in your Partners dashboard at all times.

5. User Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to or use of your account. We are not liable for any loss or damage arising from unauthorized use of your credentials.

6. Account Termination & Deletion

You may request termination and deletion of your account at any time. We provide three channels:

• From inside the Niyantr partner mobile app: Settings → Account → Delete account.
• From the partner web portal: Settings → Profile.
• From the public form at niyantr.com/delete-account (no sign-in required).

Once we verify your identity, your account is locked and marked for deletion. Personal data is anonymized within 90 days. During this 90-day window you may contact communications@niyantr.com to restore the account. We retain KYC documents for 5 years (RBI / PMLA), and order & invoice records for the period required by Indian tax law. We may also terminate or suspend your account for violation of these Terms, fraudulent activity, or non-payment, with notice where required by law. 7. Intellectual Property

All platform content, code, design, trademarks, and intellectual property are owned by Etailify Technologies Private Limited. You may not copy, modify, distribute, or create derivative works from any part of the platform without prior written consent. You retain full ownership of your store data, product listings, customer information, and any content you upload to the platform.

8. Data Protection

We handle all personal and business data in accordance with our Privacy Policy. You are responsible for ensuring that your collection, storage, and processing of customer data complies with all applicable data protection laws and regulations.

9. Limitation of Liability

To the maximum extent permitted by law, Niyantr shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities. Our total liability for any claims arising from or related to the services shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts at Bengaluru, Karnataka.
